Terms of Service

1. Acceptance

By joining the VALOR waitlist or using any VALOR service, you agree to these Terms. If you do not agree, do not use the service. VALOR is operated by NALAI (Kaia Sinclair), New York, NY.

2. Pre-Launch Status

VALOR is currently in pre-launch. Joining the waitlist does not guarantee access. We reserve the right to limit, delay, or modify access at any time. No payment is collected at the waitlist stage.

3. Acceptable Use

You agree not to use VALOR to:

• Generate illegal, harmful, deceptive, or abusive content.
• Violate the terms of any connected AI provider (Anthropic, OpenAI, etc.).
• Attempt to reverse-engineer, scrape, or exploit the platform.
• Send spam or unsolicited commercial messages.
• Impersonate any person or entity.

4. Bring Your Own Key (BYOK)

VALOR connects to AI providers using API keys you supply. You are solely responsible for:

• Compliance with each provider's terms of service.
• All costs incurred through your API keys.
• Keeping your API keys secure. Do not share them.

VALOR does not guarantee any specific cost outcome. Actual costs depend on your usage and provider pricing.

5. Intellectual Property

Content you generate using VALOR belongs to you. VALOR retains ownership of the platform, software, and branding. You grant VALOR a limited license to process your inputs solely to deliver the service.

6. Disclaimer of Warranties

VALOR is provided "as is" and "as available." We make no warranties, express or implied, regarding uptime, accuracy of AI outputs, or fitness for any particular purpose. AI-generated content may contain errors -- always review before publishing.

7. Limitation of Liability

To the maximum extent permitted by law, NALAI and its operators shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of VALOR, including but not limited to lost profits, lost data, or business interruption. Our total liability to you shall not exceed $100 USD.

8. Indemnification

You agree to indemnify NALAI from any claims, damages, or costs arising from your use of VALOR, your violation of these Terms, or your violation of any third-party rights.

9. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of New York County.

10. Changes

We may update these Terms as the product evolves. Continued use after notice of changes constitutes acceptance. Material changes will be communicated via email.
